Spectrio LLC and any affiliate entity controlled directly or indirectly by it (collectively “us”, “we”, “our”, or “Spectrio”) take the protection of your privacy very seriously as trust is a core value. Therefore, this page informs you of our policies regarding the collection, use, and disclosure of personal data and the rights associated with that processing through the operation of this website www.spectrio.com (“Service”).

DEFINITIONS:

Personal Data: Personal Data: means data about you or your personal data.

Usage Data: means data collected automatically either generated by the use of the Service or from the Service infrastructure itself (example: the duration of a page visit).

Spectrio does not sell or provide Personal Data to third parties for money nor are SMS opt-in or phone numbers for the purpose of SMS are being shared by Spectrio.

Usage Data Collected: We may also collect information on how the Service is accessed and used also known as Usage Data. This Usage Data may include information such as your computers Internet Protocol address (e.g. IP address), browser type, browser version, or the pages of our Service that you visit.

We may use and store information about your location if you give us permission to do so. We use this data to provide features of our Service, to improve and customize our Service. You can enable or disable location services when you use our Service at any time, through your device settings.

Not Covered: This Privacy Policy does not cover information collected by our customers who use our products. We may host or receive data related to our customers for our customers (and for which we act as a “service provider”) via our product applications. The Personal Data or Usage Data submitted to us as a service provider is governed by those individual contractual relationships for those products.

If we do not maintain information in a manner that identifies, relates to, describes, is reasonably capable of being associated with, or could be reasonably linked, directly or indirectly, with a particular individual or household, such information is not considered Personal Data and this Privacy Policy will not apply to our processing of that information.

Cookies Collected: We use Cookies and similar tracking technologies to tract the activity on our Service and hold certain information, if you have allowed Cookies to be acceptable.

Cookies and other tracking technologies are sent to your browser from a website and stored on your device. You can opt out of such Cookies upon entry to our website or instruct your browser to refuse all or indicate when Cookies are being sent. Spectrio’s Use of Data Collected: Spectrio does not sell any data collected through its website to third parties. Spectrio uses the collected data for various purposes though, such as:

• Provide and maintain our Service;
• Notify you about changes to our Service;
• Allow you to participate in interactive features of our Service when you choose to do so;
• Provide customer support;
• Gather analysis or information so that we can improve our Service;
• Monitor the usage of our Service;
• Detect, prevent and address technical issues with our Service; or,
• Provide you with news, special offers and general information about goods, services and events that we offer similar to those that you have already purchased or inquired about.

Retention of data: When the purposes of processing are satisfied, we will delete the Personal Data or Usage Data within thirty (30) days, or upon receipt of a verified request. We do retain and use Personal Data or Usage Data to the extent necessary to comply with applicable laws, resolve disputes, and enforce our legal agreements.

Transfer of data: Your information, including Personal Data, may be transferred to – and maintained on – computers located outside of your state, province, country or other governmental jurisdiction where the data protection laws may differ than those from your jurisdiction.

Spectrio is headquartered in the United States (U.S.) and its data centers are primarily in the U.S. Spectrio also uses many U.S. – based service providers. This means that the data collected is primarily stored by us and our service providers in the U.S. However, we operate globally through our affiliates, subsidiaries, and service providers. If you are located outside the United States and choose to provide information to us, please note that we transfer the data, including Personal Data, to United States and process it there if it is relevant for the delivery of our Services or applicable for business operations.

Located in the EU: Some of our service providers and affiliates are located outside of the European Union or the European Economic Area. In some cases, the European Commission may have determined the data protection laws of some countries provide a level of protection equivalent to Personal Data when there are appropriate safeguards in place. These safeguards include the European-Commission-approved standard contractual data protection clauses under Article 46.2 of the General Data Protection Regulation (“GDPR”), the Data Privacy Framework (as defined below), or other approved mechanisms.

For individuals whose Personal Data is safeguarded by the Data Privacy Framework, before sending your Personal Data to a third party, we will do one of two things:

• Seek your consent; or
• Demand privacy and security: We will ensure the third party maintains the same level of privacy and security for your data as we do. We are accountable or liable for the protection of your Personal Data when we transfer it to others except when we can prove that we are not responsible for an event that leads to any unauthorized or improper processing. We either send it to a country, territory or sector within a country that is recognized as providing the same level of Personal Data protection as the country of origin or the Data Privacy Framework, or use safeguards like the Data Privacy Framework or the SCCs with necessary adjustments for transfers from the UK or Switzerland, or use specific transfer instruments like the UK International Data Transfer Agreement.

We are accountable and liable for the protection of your Personal Data when we transfer it to others except when we can prove that we are not responsible for an event that leads to any unauthorized or improper processing.

With respect to Personal Data processed in the scope of the Services, Spectrio complies with the EU-U.S. Data Privacy Framework (and its UK Extension) and Swiss-U.S. Data Privacy Framework (the “Data Privacy Framework”) as adopted and put forward by the U.S. Department of Commerce regarding the processing of Personal Data. Spectrio commits to upholding the Data Privacy Framework Principles. If there is any conflict between the terms of this Privacy Policy and the Data Privacy Framework Principles, the Data Privacy Framework Principles shall govern.

Spectrio is subject to the investigatory and enforcement powers of the United States Federal Trade Commission.

Bases for Processing: The GDPR and other applicable data protection laws require that we have a valid reason to use your Personal Data. This is called the “lawful basis for processing.” When operating as a Data Controller, we may process your Personal Data:

• You gave your consent
• We need to perform a contract with you
• We have a legitimate interest in processing your Personal Data and it is not overridden by your rights such as identifying and preventing fraud and/or enhancing the security of our network and information systems
• We need to comply with the law or required or permitted by law

Where we process your Personal Data based on your consent, you may withdraw it at any time. However, this will not affect the lawfulness of our processing before you withdrew your consent. It will also not affect the validity of our processing of Personal Data performed on other lawful grounds

DISCLOSURE OF DATA

Business Transaction: If Spectrio is involved in a merger, acquisition or asset sale, your Personal Data may be transferred. We will provide notice before your Personal Data is transferred and becomes subject to a difference Privacy Policy.

Disclosure for Law Enforcement: Under certain circumstances, Spectrio may be required to disclose your Personal Data if required to do so by law or in response to valid requests by public authorities (e.g. a court or a government agency).

Legal Requirements: Spectrio may disclose your Personal Data in the good faith belief that such action is necessary to:

• To comply with a legal obligation
• To protect and defend the rights or property of Spectrio
• To prevent or investigate possible wrongdoing in connection with the Service
• To protect the personal safety of users of the Service or the public
• To protect against legal liability
• Security of Data

“Do Not Track” Signals: We do not support Do Not Track (“DNT”). Do Not Track is a preference you can set in your web browser to inform websites that you do not want to be tracked.

You can enable or disable Do Not Track by visiting the Preferences or Settings page of your web browser.

Your Rights: Spectrio aims to take reasonable steps to allow you to object, correct, amend, delete, or limit the use of your Personal Data.

Whenever made possible, you can update your Personal Data directly within your account settings section. If you are unable to change your Personal Data, please contact us to make the required changes. Please note, to exercise your rights with respect to information processed by us on behalf of one of our customers, please read the privacy policy of that customer.

If you wish to be informed what Personal Data, we hold about you and if you want it to be removed from our systems, please contact us.

In certain circumstances, you have the right:

• To access and receive a copy of the Personal Data we hold about you;
• To rectify any Personal Data held about you that is inaccurate;
• To request the deletion of Personal Data held about you;
• To data portability for the information you provide to Spectrio;
• To request and obtain a copy of your Personal Data in a commonly used electronic format so that you can manage and move it; or
• To tell us to stop using your Personal Data. This includes the right to object at any time to the processing of your Personal Data for direct marketing purposes.

You have the right to ask us to change how we process your Personal Data or restrict processing. It is the right to ask us to only use or store your Personal Data for certain purposes. You have this right in certain occasions, such as where you believe the data is inaccurate or the processing activity is unlawful. This right enables you to ask us to suspect the usage of Personal Data about you, for example if you want us to establish its accuracy or the reason for processing it.

Please note that we may ask you to verify your identity before responding to such requests.

Note: if requested, we will stop processing the relevant Personal Data unless we have compelling legitimate grounds for the processing that override your interests, rights or freedoms, or we need to continue processing your Personal Data to establish, exercise or defend a legal claim.

We will not discriminate against you for exercising any of your privacy rights, meaning we will not deny you goods or services, charge you different prices or rates for goods or Services (including through granting discounts or other benefits or imposing penalties, or provide you a different level or quality of goods or services.

Service Providers: We may employ third party companies and individuals to facilitate your Service (“Service Providers”) to provide the Service on our behalf, to perform Service-related services or to assist us in analyzing how our Service is used.

These third parties have access to your Personal Data only to perform these tasks on our behalf and are obligated not to disclose or use it for any other purpose.

Analytics: We may use third-party Service Providers to monitor and analyze the use of our Service such as Google Analytics.

Behavioral Remarketing: Spectrio may use remarketing services to advertise on third party websites to you after you visited our Service. We and our third-party vendors use cookies to inform, optimize and serve ads based on your past visits to our Service.

Disputes/Binding Arbitration: If a complaint or dispute related to Personal Data cannot be resolved through Spectrio’s internal or external mediation process, nor through dispute resolution procedures established by the EU data protection authorities for those in the EU, the UK Information Commissioner’s Office for those in the UK, you may have the right to require that we enter into binding arbitration with you pursuant to the Data Privacy Framework’s “Recourse, Enforcement and Liability Principle” and Annex I of the Data Privacy Framework.

Links to Other Sites: Our Service may contain links to other sites that are not operated by us. If you click on a third-party link, you will be directed to that third party’s site. We strongly advise you to review the Privacy Policy of every site you visit.

We have no control over and assume no responsibility for the content, privacy policies or practices of any third-party sites or services.

Children’s Privacy: Spectrio provides business to business products and Services. This website and Services are not directed at or intended for use by children.

Changes To This Privacy Policy: We may update our Privacy Policy from time to time. We will notify you of any changes by posting the new Privacy Policy on this page.

We will let you know via email and/or a prominent notice on our Service, prior to the change becoming effective and update the “effective date” at the top of this Privacy Policy.

You are advised to review this Privacy Policy periodically for any changes. Changes to this Privacy Policy are effective when they are posted on this page.
